Terms of Use
These Terms of Use (the "Terms") govern your access to and use of FundManager.co.uk (the "Site"), operated by Bermudex Labs Limited. By accessing the Site or registering an account, you agree to be bound by these Terms. If you do not accept them, please do not use the Site.
1. Agreement
This is an agreement between you ("you", "your") and Bermudex Labs Limited, a company registered in England and Wales, whose registered office is at 66 Paul Street, London, EC2A 4NA ("we", "us", "our").
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when changes were last made. Continued use of the Site after changes are posted means you accept the updated Terms. Where changes are material we'll take reasonable steps to notify you in advance — for example by email or via a notice on the Site.
2. Your right to use the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your personal, non-commercial use.
To use certain features (for example, watchlists, portfolios, and premium reports) you must register an account. You agree that:
- The information you provide on registration is accurate, current, and complete.
- You will keep your login credentials confidential and not share them with anyone else.
- You are responsible for all activity that takes place under your account.
- You will notify us promptly if you suspect any unauthorised access or use of your account.
- You are at least 18 years old, or the age of majority where you live, whichever is greater.
One person may hold one account only. We reserve the right to suspend or close duplicate accounts.
3. Acceptable use
You agree not to use the Site to:
- Break any law or regulation, or infringe the rights of any other person.
- Attempt to gain unauthorised access to any part of the Site, our servers, or other systems connected to it.
- Reverse engineer, decompile, scrape, or otherwise attempt to extract the source code, structure, or underlying data of the Site, except to the extent that such activity is expressly permitted by law.
- Use automated tools, robots, or scrapers to access the Site, except for legitimate search-engine indexing.
- Upload, transmit, or distribute any virus, malware, or other harmful code.
- Probe, scan, or test the vulnerability of the Site, or breach any security or authentication measures.
- Interfere with or disrupt the Site, the servers it runs on, or other users' use of it.
- Resell, redistribute, or commercially exploit any data, content, or functionality of the Site without our prior written permission.
4. User-generated content
Where the Site lets you create lists, notes, portfolios, or other content ("User Content"), you keep ownership of that content. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, and display your User Content for the purpose of operating the Site and providing the service to you.
You are responsible for your User Content. You agree not to upload User Content that is unlawful, infringing, defamatory, threatening, or otherwise objectionable.
5. Monitoring and removal of content
We are not under any general obligation to monitor User Content, but we reserve the right to review, edit, or remove any content from the Site at our discretion, in particular where we believe it breaches these Terms or any applicable law.
If you believe content on the Site infringes your rights, please contact us using the details in section 17.
6. Suspension and termination
We may suspend or close your account, or restrict your access to the Site, at our discretion if we reasonably believe that:
- You have breached these Terms.
- Your use of the Site poses a security or operational risk.
- We are required to do so by law or by a regulator.
You may close your account at any time by deleting it through your profile page or by contacting us. On closure we may retain certain data for as long as needed to comply with legal obligations or resolve disputes — see our Privacy Notice.
Sections of these Terms that by their nature should survive termination will continue to apply (including without limitation sections 7, 9, 10, 11, 12, 13, and 18).
7. Intellectual property
All content on the Site — including text, graphics, logos, icons, the FundManager.co.uk and Bermudex Labs trademarks, the layout and visual design, software, and underlying data compilations — is owned by or licensed to Bermudex Labs Limited and is protected by intellectual property laws.
Except as expressly permitted by these Terms or with our prior written consent, you may not copy, reproduce, republish, distribute, modify, or create derivative works from any part of the Site.
Market data displayed on the Site is sourced from third-party providers (such as Alpha Vantage and Companies House). That data remains the property of its respective providers and is provided to you for personal, non-commercial use only, subject to those providers' own terms.
8. No responsibility for third-party content
The Site contains data sourced from third parties and may include links to third-party websites. We do not control and are not responsible for the content, accuracy, or availability of third-party sites or data. Inclusion of a link or piece of third-party data does not imply endorsement.
9. No financial advice — important
FundManager.co.uk provides information, data, screening tools, and analytics about stocks, funds, and other publicly listed instruments. Nothing on the Site constitutes financial, investment, tax, or legal advice, a recommendation, or a solicitation to buy, sell, or hold any security or financial instrument.
You acknowledge and agree that:
- Bermudex Labs Limited is not authorised or regulated by the Financial Conduct Authority (FCA) or any other financial services regulator, and does not carry out any regulated activity within the meaning of the Financial Services and Markets Act 2000.
- The Site is not a substitute for professional financial advice. You should consult a suitably qualified, regulated financial adviser before making any investment decision.
- Past performance, historical price data, and statistical metrics shown on the Site are not a reliable indicator of future results.
- Investments can fall as well as rise in value. You may get back less than you invest, and you may lose all of the capital you invest.
- Tax treatment depends on individual circumstances and may change in the future.
- Any decision you make based on information from the Site is made at your own risk and is your sole responsibility.
10. Data accuracy and availability
We make reasonable efforts to source accurate, current data from reputable providers, but we do not guarantee that the information on the Site is complete, accurate, current, or free from errors. Market data may be delayed, incomplete, or contain errors due to issues at the upstream provider, network conditions, or technical faults.
To the maximum extent permitted by law, we disclaim all liability for any loss arising from your reliance on data displayed on the Site.
11. Security
We use industry-standard measures to protect the Site and your data — see our Privacy Notice for details. However, no online service can be guaranteed to be 100% secure. You acknowledge that you use the Site at your own risk and that you are responsible for keeping your login credentials and any device you use to access the Site secure.
12. External links
The Site may contain links to third-party websites for your convenience. We are not responsible for the content of those sites. Following an external link is at your own risk.
13. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Bermudex Labs Limited, its officers, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to:
- Your use of the Site in breach of these Terms;
- Your User Content;
- Your breach of any applicable law or the rights of a third party.
14. Disclaimer of warranties
The Site and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties or representations of any kind, whether express or implied, about the Site, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, error-free, secure, or free from viruses.
15. Limitation of liability
The Site is provided to you free of charge. You acknowledge and agree that, in light of the free nature of the service and the disclaimers set out elsewhere in these Terms (in particular sections 9, 10, and 14), the limitations in this section are reasonable.
Nothing in these Terms limits or excludes our liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation;
- Any other liability that cannot lawfully be limited or excluded under English law.
Subject to that, and to the maximum extent permitted by law:
- We provide the Site on an "as is" basis with no commitment to availability, accuracy, or fitness for any particular purpose, and we accept no liability arising from your use of, or reliance on, the Site or any information on it.
- We will not be liable for any loss of profit, loss of business, business interruption, loss of business opportunity, loss of investment value, loss of data, or any indirect or consequential loss, however arising — whether in contract, tort (including negligence), breach of statutory duty, or otherwise.
- Our total aggregate liability to you under or in connection with these Terms is limited to nil. This reflects the fact that you pay nothing to use the Site.
- If at any future point we offer paid services and you become a paying subscriber, this nil cap will not apply to claims directly relating to those paid services; instead, our liability for those claims will be limited to the total amount you have paid us in the 12 months immediately preceding the event giving rise to the claim. Use of any free parts of the Site remains subject to the nil cap.
If you are a consumer, your statutory rights are unaffected by these Terms.
16. Severability and entire agreement
If any provision of these Terms is found by a court to be unlawful or unenforceable, that provision will be removed without affecting the validity of the remaining provisions.
These Terms, together with our Privacy Notice and any other policies referenced from the Site, constitute the entire agreement between you and us regarding your use of the Site.
No failure or delay by us in exercising any right under these Terms shall operate as a waiver of that right.
17. Data protection
How we collect and use personal data is set out in our Privacy Notice, which forms part of these Terms.
18. Availability of the Site
We aim to keep the Site available 24 hours a day, but we do not guarantee uninterrupted access. The Site may be unavailable from time to time for maintenance, upgrades, or for reasons outside our control. We will not be liable to you for any unavailability, but we'll make reasonable efforts to keep downtime to a minimum and to give notice of planned maintenance where practical.
19. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.
You and we agree that the courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your use of the Site, except that if you are a consumer resident in another jurisdiction, you may also bring proceedings in the courts of your country of residence.
